SEC Investor Accreditation Critieria

The Bedrock Fund’s investors primarily qualify as Accredited Entities rather than individual investors, or as individual owners who meet accredited investor standards under Rule 501(a) of Regulation D. Accredited Entities are organizations that satisfy specific financial or structural requirements established by the U.S. Securities and Exchange Commission (SEC).

These entities may qualify by owning investments exceeding $5 million, by holding assets over $5 million (including corporations, partnerships, limited liability companies, trusts, 501(c)(3) organizations, employee benefit plans, and family offices or their clients), or if all equity owners of the entity are themselves accredited investors. These qualifications ensure that entities investing in private offerings, such as the Bedrock Fund, possess the financial sophistication and capacity to evaluate and manage investment risk responsibly.
